1. Acceptance of Terms

By accessing or using the products and services (the "Services") offered by NorthBridge Global Trust, operating as "NorthBridge GT" ("we," "us," or "our"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree, do not use the Services.

2. Eligibility

To use the Services, you must:
• Be at least 18 years old (or the age of majority in your jurisdiction)
• Have the legal capacity to enter into a binding contract
• Provide accurate, current identity information and complete any required identity verification (KYC)
• Not be located in, or a resident of, a jurisdiction where use of the Services is prohibited by law or sanctions

3. Accounts

3.1 Account Opening: Opening an account requires successful completion of our identity verification and eligibility review. We may decline to open an account, or close an existing account, at our discretion, including for compliance, risk, or regulatory reasons.

3.2 Account Security: You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. Notify us immediately of any unauthorized access or suspected fraud.

3.3 Accurate Information: You agree to provide accurate information when opening or maintaining your account and to promptly update it if it changes.

4. Deposits, Withdrawals, and Transactions

Funds availability, deposit limits, and withdrawal processing times are governed by your specific account agreement and applicable regulations (e.g., Regulation CC in the U.S.). We may delay, limit, or decline a transaction for fraud prevention, compliance, or operational reasons, and will notify you where required by law. Fees applicable to your account are disclosed in the applicable fee schedule, provided separately at account opening and available on request.

5. Prohibited Uses

You agree not to use the Services to: Violate any applicable law or regulation, including anti-money laundering (AML) and sanctions laws; Commit fraud or facilitate fraudulent activity; Infringe the rights of any third party; Interfere with or disrupt the integrity or performance of the Services; Or attempt to gain unauthorized access to the Services or related systems. We may suspend or terminate your account for any violation of this section.

6. Electronic Communications

By using the Services, you consent to receive disclosures, statements, and notices electronically. You may withdraw this consent as permitted by law, which may affect your ability to use certain Services.

7. Intellectual Property

The Services, including all associated software, trademarks (including the NorthBridge GT name and logo), and content, are owned by NorthBridge Global Trust or its licensors. You may not copy, modify, or distribute any part of the Services without our prior written consent.

8. Disclaimers

The Services are provided "as is" and "as available." To the fullest extent permitted by law, we disclaim all warranties, express or implied, regarding the Services, including warranties of merchantability, fitness for a particular purpose, and non-infringement. Nothing in this section limits any warranties or protections you are entitled to under applicable consumer financial protection law, which cannot be waived.

9. Limitation of Liability

To the fullest extent permitted by law, NorthBridge Global Trust will not be liable for indirect, incidental, special, consequential, or punitive damages arising from your use of the Services. This limitation does not apply where prohibited by law or to liability arising from our fraud, gross negligence, or willful misconduct.

10. Indemnification

You agree to indemnify and hold NorthBridge Global Trust harmless from claims, damages, and expenses (including reasonable attorneys' fees) arising from your breach of these Terms or misuse of the Services.

11. Dispute Resolution

Any dispute arising from these Terms or the Services will be resolved as described in your account agreement, which may include an arbitration provision and/or a designated venue. Nothing in this section limits any rights you have under applicable consumer protection law that cannot be waived by agreement.

12. Changes to These Terms

We may update these Terms from time to time. We will post the revised Terms on this page with an updated "Last updated" date and, where required by law, provide additional notice of material changes before they take effect.

13. Termination

We may suspend or terminate your access to the Services at any time, with or without cause, subject to applicable law and your account agreement. You may close your account at any time, subject to settlement of any outstanding obligations.

14. Governing Law

These Terms are governed by the laws of the State of North Carolina and applicable U.S. federal law, without regard to conflict-of-law principles, except where superseded by federal or state banking regulation.
